1. Acceptance of Terms

These Terms of Service (“Terms”) govern your use of the Yoss.gg website, mobile application, and related services (the “Service”) operated by Soron LLC (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Yoss.gg is a peer-to-peer social entertainment platform that provides a front-end interface to a non-custodial smart contract deployed on Base, an Ethereum Layer 2 network. Users can engage in peer-to-peer coin flip interactions using USDC (a stablecoin pegged to the US Dollar).

Yoss.gg does not custody, control, or hold user funds at any time. All transactions occur directly on the Base blockchain through an immutable smart contract. We provide only the interface and matchmaking service.

3. Eligibility

You must meet ALL of the following requirements to use the Service:

  • You are at least 18 years of age
  • You are not located in, or a resident of, any jurisdiction where use of this Service would be prohibited by applicable law
  • You are not on any sanctions list maintained by the U.S. Office of Foreign Assets Control (OFAC), the United Nations, or any other relevant authority
  • You are not located in a country or territory that is subject to comprehensive U.S. sanctions (including but not limited to Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions)

By using the Service, you represent and warrant that you meet all of the above requirements. We reserve the right to restrict access from any jurisdiction at any time.

4. Account and Wallet

When you create an account, a smart account (wallet) is generated for you through our authentication provider, Privy. You are responsible for maintaining the security of your account credentials. We do not have access to your private keys.

You are solely responsible for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

5. How the Service Works

Matchmaking

The Service matches users who wish to engage in peer-to-peer coin flip interactions. You choose a wager amount and are matched with another user who has selected the same amount. You may also create private challenges by sharing a link with a specific person.

Smart Contract Escrow

When a match is made, both participants’ wagers are held in a non-custodial smart contract on the Base blockchain. The smart contract determines the outcome and distributes funds automatically. Yoss.gg does not hold, custody, or control these funds at any point.

Outcome

The outcome of each coin flip is determined by on-chain mechanisms. The winner receives both wagers (minus any applicable platform fee). Results are recorded on-chain and are final and irreversible.

Platform Fee

Yoss.gg may charge a small platform fee on each interaction, which is deducted by the smart contract before distributing winnings. The current fee rate is displayed in the application.

6. Funding and Withdrawals

You may fund your wallet through third-party services integrated into the platform. These services are operated by independent companies and are subject to their own terms and conditions:

  • MoonPay — Fiat-to-crypto purchases (Apple Pay, card). Subject to MoonPay's Terms.
  • Coinbase Onramp — Alternative fiat-to-crypto purchases. Subject to Coinbase's Terms.
  • Transak — Offramp for cashing out to fiat. Subject to Transak's Terms.

We are not responsible for the services, availability, or conduct of these third-party providers. Their services may not be available in all jurisdictions. By using these services, you agree to their respective terms and privacy policies.

7. Prohibited Conduct

You agree not to:

  • Use the Service if you do not meet the eligibility requirements in Section 3
  • Use the Service for money laundering, terrorist financing, or any other illegal purpose
  • Attempt to exploit, manipulate, or interfere with the smart contract or the Service
  • Use bots, scripts, or automated tools to interact with the Service (unless explicitly authorized)
  • Circumvent any access restrictions, geo-restrictions, or security measures
  • Engage in collusion, fraud, or any form of deceptive activity
  • Harass, abuse, or threaten other users
  • Impersonate any person or entity
  • Reverse engineer, decompile, or disassemble any part of the Service

8. Assumption of Risk

By using the Service, you acknowledge and accept the following risks:

  • Financial risk — You may lose the entire amount of USDC you wager in any given coin flip. Only wager amounts you can afford to lose.
  • Smart contract risk — While our smart contract has been designed with care, smart contracts may contain bugs or vulnerabilities. We are not liable for any losses resulting from smart contract failures.
  • Blockchain risk — The Base network may experience congestion, outages, or forks. Transactions may fail, be delayed, or produce unexpected results.
  • Stablecoin risk — USDC is a third-party stablecoin. Its value may fluctuate or depeg. We are not responsible for the stability of USDC.
  • Regulatory risk — The legal and regulatory environment for digital assets is evolving. Changes in law may affect your ability to use the Service.
  • Wallet security — You are responsible for the security of your account. Lost access to your account may result in loss of funds.

9. No Warranty

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not warrant the accuracy, completeness, or reliability of any content or information provided through the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SORON LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT OF PLATFORM FEES YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Soron LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your violation of any rights of a third party.

12. Intellectual Property

The Service and its original content, features, and functionality are owned by Soron LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

The smart contract code deployed on the Base blockchain is publicly verifiable on-chain.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Any funds held in the smart contract will remain accessible to you through the blockchain directly, as the smart contract is non-custodial and does not depend on Yoss.gg to function.

14. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

You agree to resolve disputes on an individual basis only. You waive any right to participate in a class action, class arbitration, or representative proceeding.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service with a new “Last updated” date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
